The licensing of intellectual property (“IP”) rights has become a lucrative opportunity for IP owners in domestic and international business. IP owners not only rely on licensing to increase their bottom line but also to broaden the awareness of their brand or creative works. If negotiating a purchase or sale agreement for a business or brand, it is important to conduct your due diligence to ensure that you are getting what you think you are getting in a transaction.  Due diligence can be conducted by the buyer or the seller.  A buyer wants to know what they are buying is worth the price and that it will allow them to achieve their business goals. A buyer will also want to understand the risks of purchasing the intellectual property.  On the other hand, if you are interested in selling your business, due diligence is an important part of knowing what you are selling so that you are in a better position to negotiate price.  Sometimes this due diligence is called an “IP audit”.  An intellectual property audit is an organized analysis of assets owned, used, or acquired by an individual or business. 

The purpose of conducting an intellectual property audit is to examine the IP landscape and identify under-utilized IP assets, identify any gaps in the IP portfolio, identify potential risks to the IP, and to gather information that allows IP owners to determine how to best maximize the value of the IP.  MAVEN® IP can assist you with conducting an IP audit so that you understand what you have, what you don’t, and what you need.

Corporations:

If you are starting a business, you may consider forming a corporation or limited liability company to protect your assets.  Either type protect owners so that they are not personally liable for business liabilities or debts.  Typically, the creation and management of an LLC is much easier and more flexible than a corporation because it requires less paperwork.  While we do not make recommendations regarding which type of corporate entity is best for you, once you have consulted your accountant, we can facilitate that filing.
